Terms of Use

Applies to: HiredHealth Mobile App, Web Application, and Website
Please read these Terms of Use (“Terms”) carefully before accessing or using any HiredHealth product or service, including our website, web application, and mobile application (collectively, the “Platform”). These Terms constitute a legally binding agreement between you and HiredHealth, Inc. (“HiredHealth,” “we,” “our,” or “us”).
By accessing or using the Platform in any way — including browsing the website, creating a free account, or downloading the mobile application — you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
Users who create accounts and engage in transactional activity on the Platform are also subject to the HiredHealth Platform Services Agreement (“PSA”) and Privacy Policy, each of which are incorporated herein by reference. In the event of a conflict between these Terms and the PSA, the PSA controls with respect to commercial and transactional matters.
1. ELIGIBILITY
To access or use the Platform, you represent and warrant that you are at least 18 years of age, are legally authorized to enter into binding agreements under applicable law, are not barred from using the Platform under any applicable law or regulation, and will use the Platform only for lawful purposes and in accordance with these Terms.
For Clinicians: You additionally represent that you hold all required professional licenses, certifications, and registrations necessary to perform clinical services in the jurisdictions where you seek Assignments.
For Employers: You additionally represent that your organization is duly authorized to operate healthcare facilities and engage clinical personnel in the applicable jurisdictions.
HiredHealth may, but is not obligated to, perform limited account-integrity, identity, NPI, license-status, or eligibility checks. Any such checks are for Platform safety and profile-integrity purposes only and do not constitute credentialing, privileging, clinical competency review, peer review, employment screening, or approval to provide clinical services.
2. ACCOUNTS
2.1 Account Creation
To access certain features of the Platform, you must create an account. When creating an account, you agree to provide accurate, complete, and current information; maintain the accuracy of your information and update it promptly when it changes; keep your login credentials confidential; accept responsibility for all activity that occurs under your account; and notify HiredHealth immediately of any unauthorized use of your account.
2.2 Account Security
You are solely responsible for maintaining the security of your account credentials. HiredHealth will not be liable for any loss or damage arising from your failure to protect your login information. Do not share your password with any third party. HiredHealth will never ask for your password via email or unsolicited communication.
2.3 Accounts and Authorized Users
Each individual user must maintain their own login credentials and may not share credentials with any other person. An Employer organization may maintain one organizational account with multiple authorized users, including administrators, recruiters, credentialing personnel, billing contacts, schedulers, or other approved representatives. Each Employer is responsible for all activity conducted by its authorized users. Creating false, misleading, unauthorized, or duplicate personal accounts is prohibited and may result in suspension or termination.
2.4 Account Termination
You may deactivate your account at any time through your account settings or by contacting HiredHealth. HiredHealth reserves the right to suspend or terminate accounts that violate these Terms, the PSA, or applicable law, with or without prior notice depending on the severity of the violation.
3. PERMITTED USE
3.1 License Grant
Subject to your compliance with these Terms, HiredHealth grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose: enabling licensed healthcare professionals and healthcare organizations to discover, match, communicate, exchange professional profile information, manage Assignment-related workflows, and use credential-enabled marketplace tools in accordance with these Terms and the Platform Services Agreement.
3.2 Permitted Activities
You may use the Platform to:
Create and maintain a professional profile as a Clinician or facility profile as an Employer
Upload, store, organize, display, and share professional profile information and documents, subject to these Terms and the Privacy Policy
Browse, post, save, match with, and respond to clinical coverage opportunities
Communicate with other users through Platform-provided messaging features
Form, manage, and complete Assignments in accordance with the Platform Services Agreement
Access Assignment, payment, credential-enabled profile, and account records
Use other marketplace and administrative features made available by HiredHealth
4. PROHIBITED CONDUCT
4.1 General Prohibitions
You agree not to use the Platform to:
Violate any applicable federal, state, local, or international law or regulation
Misrepresent your identity, credentials, licensure, or qualifications
Upload or transmit false, misleading, or fraudulent information
Harass, intimidate, threaten, or discriminate against any user or HiredHealth employee
Post or transmit content that is defamatory, obscene, or otherwise objectionable
Circumvent the Platform to avoid paying applicable Platform Fees, as defined in the PSA
Solicit other users to bypass the Platform, avoid applicable Platform Fees, misuse Platform information, or enter into arrangements that violate the PSA’s non-circumvention obligations
Use the Platform to recruit for non-healthcare or unrelated commercial purposes
Post, filter, message, reject, rank, or make Assignment-related decisions based on protected characteristics in violation of applicable anti-discrimination, employment, labor, healthcare, or professional-licensing laws
4.2 Technical Prohibitions
You agree not to reverse engineer, decompile, or attempt to derive source code; use automated scripts, bots, or scrapers; introduce malware or harmful code; attempt to gain unauthorized access to the Platform or its infrastructure; interfere with or disrupt the Platform’s integrity or performance; bypass security or access control measures; use the Platform in any manner that could overburden its infrastructure; or frame, mirror, or incorporate any portion of the Platform into another website or application without written consent.
4.3 Content Prohibitions
You may not upload, post, or transmit through the Platform: protected health information (PHI) or any patient-identifiable data; content that infringes any third-party intellectual property rights; spam or unsolicited commercial communications; content that promotes illegal activity or violence; personal information of third parties without their consent; or content that violates any professional licensing or ethics rules applicable to your profession.
4.4 Consequences of Violations
HiredHealth reserves the right, in its sole discretion, to remove any content that violates these Terms; suspend or terminate your access immediately and without prior notice; report conduct to applicable professional licensing boards, regulatory authorities, law enforcement, Employers, or other appropriate parties where HiredHealth reasonably believes such reporting is required by law or necessary to address fraud, identity misuse, credential misrepresentation, safety concerns, unlawful conduct, or serious Platform misuse; and pursue legal remedies for violations that cause harm to HiredHealth or other users.
5. CONTENT AND USER SUBMISSIONS
5.1 Your Content
You retain ownership of any content, information, documents, profile materials, messages, credentials, licensure information, certifications, work history, facility information, or other materials you submit to the Platform (“User Content”). By submitting User Content, you grant HiredHealth a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, reproduce, and use your User Content solely as reasonably necessary to operate, secure, maintain, provide, and improve the Platform; facilitate matching, communication, Assignment workflows, payment workflows, and credential-enabled marketplace features; comply with legal obligations; and enforce these Terms and the Platform Services Agreement.
5.2 Accuracy of Content; Limited Platform Checks
You are solely responsible for the accuracy, completeness, legality, and currency of all User Content you provide. HiredHealth may, but is not obligated to, perform limited identity, NPI, license-status, document-completeness, fraud-prevention, or account-integrity checks. Such checks are for Platform safety and profile-integrity purposes only and do not constitute credentialing, privileging, peer review, clinical competency review, employment screening, payer enrollment, endorsement, recommendation, or authorization to provide clinical services.
Submitting false, incomplete, expired, misleading, or fraudulent information is a material breach of these Terms and the Platform Services Agreement and may result in account suspension, termination, removal of content, reporting where appropriate, and legal liability.
5.3 No Obligation to Monitor
HiredHealth has no obligation to monitor, review, or moderate User Content submitted to the Platform. However, HiredHealth reserves the right to review and remove any User Content that, in its sole discretion, violates these Terms or is otherwise objectionable.
5.4 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant HiredHealth a perpetual, irrevocable, royalty-free right to use that feedback for any purpose, without obligation or compensation to you.
6. INTELLECTUAL PROPERTY
6.1 HiredHealth Ownership
The Platform and all of its content, features, and functionality — including software, algorithms, designs, text, graphics, logos, icons, images, audio, and the selection and arrangement thereof — are owned by HiredHealth, Inc. or its licensors and are protected by United States and international intellectual property laws.
6.2 Restrictions
You may not copy, modify, distribute, sell, or lease any portion of the Platform or its content; use HiredHealth’s name, logo, trademarks, or branding without prior written consent; remove or alter any proprietary notices or marks on the Platform; or create derivative works based on any Platform content.
6.3 Limited License
Nothing in these Terms transfers any intellectual property rights to you. The limited license granted in Section 3.1 does not include any right to sublicense, resell, or commercially exploit the Platform or its content.
7. THIRD-PARTY SERVICES AND LINKS
The Platform may integrate with or contain links to third-party services, including Stripe for payment processing. Your use of third-party services is governed by their respective terms and privacy policies. HiredHealth is not responsible for the content, practices, or availability of any third-party service and does not endorse any third-party service, product, or content accessible through the Platform.
8. DISCLAIMERS
8.1 Platform Provided As-Is
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HIREDHEALTH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 No Guarantee of Availability
HiredHealth does not warrant that the Platform will be available at all times, uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Platform or any feature at any time without notice or liability.
8.3 No Clinical, Credentialing, or Professional Endorsement
HiredHealth is a credential-enabled marketplace, not a credentialing authority. HiredHealth may provide administrative tools that allow Clinicians to submit, store, organize, display, transmit, and share professional profile information and credential-related documents. HiredHealth may also perform limited identity, NPI, license-status, document-completeness, fraud-prevention, or account-integrity checks. These activities are intended to support Platform integrity, matching, and administrative efficiency only. They do not constitute credentialing, privileging, peer review, clinical competency review, employment screening, payer enrollment, endorsement, recommendation, or authorization to provide clinical services. Employers remain solely responsible for independently reviewing Clinician information and completing all credentialing, privileging, onboarding, hiring, supervision, classification, and clinical-authorization decisions.
HiredHealth does not credential, privilege, clinically approve, certify, endorse, recommend, employ, supervise, or authorize any Clinician to provide clinical services. HiredHealth makes no representation or warranty that any Clinician is qualified, competent, insured, credentialed, privileged, enrolled, suitable, or authorized to perform any particular Assignment or practice at any particular facility. Employers are solely responsible for their own credentialing, privileging, onboarding, hiring, supervision, classification, and clinical-authorization decisions.
8.4 No Employment, Agency, Medical Group, or Clinical Relationship
Nothing in these Terms, the Platform, any Platform communication, any profile feature, or any Assignment workflow creates an employment, employer-of-record, payroll, agency, partnership, joint venture, fiduciary, medical group, healthcare provider, or clinical-supervision relationship between HiredHealth and any user. HiredHealth is a technology marketplace facilitator and credential-enabled administrative platform only. Clinicians perform services pursuant to direct arrangements with Employers, not as employees, agents, contractors, or representatives of HiredHealth.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HIREDHEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE PLATFORM, ANY CONTENT OR CONDUCT OF ANY USER ON THE PLATFORM, ANY ASSIGNMENT OR CLINICAL ENGAGEMENT FORMED THROUGH THE PLATFORM, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, OR ANY THIRD-PARTY SERVICE LINKED FROM THE PLATFORM.
IN NO EVENT SHALL HIREDHEALTH’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FEES PAID BY YOU TO HIREDHEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless HiredHealth and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of or access to the Platform; your violation of these Terms; your User Content; your violation of any applicable law, regulation, or third-party right; any Assignment or clinical engagement you enter into through the Platform; and any misrepresentation of your credentials, qualifications, or identity.
HiredHealth reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with HiredHealth’s defense of such claims.
11. DISPUTE RESOLUTION
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.
11.2 Informal Resolution
Before initiating any formal dispute process, you agree to contact HiredHealth at support@hiredhealth.com and provide a written description of the dispute. The parties will attempt to resolve the dispute informally within thirty (30) days of notice.
11.3 Arbitration
Except as expressly excluded below, any dispute arising out of or relating to these Terms, your access to or use of the Platform, account suspension or termination, Platform content, or HiredHealth’s role as a technology marketplace facilitator shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware unless the parties agree otherwise. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The following claims are not subject to arbitration under these Terms:
Claims arising from clinical services, medical treatment, patient care, professional negligence, or malpractice
Workers’ compensation, unemployment benefits, or similar statutory benefit claims
Employer-Clinician disputes arising solely under an Assignment Confirmation
Claims eligible for resolution in small claims court
Claims for temporary or preliminary injunctive relief to prevent irreparable harm
11.4 Class Action Waiver
YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. The arbitrator may not consolidate your claims with those of any other person or preside over any representative proceeding.
11.5 Opt-Out
You may opt out of the arbitration agreement by providing written notice to HiredHealth within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms.
12. MODIFICATIONS TO THE PLATFORM AND TERMS
12.1 Platform Changes
HiredHealth reserves the right to modify, suspend, or discontinue the Platform or any feature, content, or service at any time, with or without notice. HiredHealth shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
12.2 Changes to Terms
HiredHealth may update these Terms at any time. When we make material changes, we will notify you by updating the “Effective Date” and, where appropriate, by notifying you through the Platform or via email. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree to any updated Terms, you must stop using the Platform and deactivate your account.
13. GENERAL PROVISIONS
13.1 Entire Agreement
These Terms, together with the Platform Services Agreement, Privacy Policy, and any Assignment Confirmations, constitute the entire agreement between you and HiredHealth regarding your use of the Platform and supersede all prior agreements, representations, and understandings.
13.2 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
13.3 Waiver
HiredHealth’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
13.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without HiredHealth’s prior written consent. HiredHealth may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
13.5 Force Majeure
HiredHealth shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, government actions, labor disputes, or internet outages.
13.6 No Third-Party Beneficiaries
These Terms do not confer any rights or remedies on any third party other than as expressly stated herein.
